Seller Terms and Listing Rules
1. Seller eligibility and verification
You must be 18 or older and have the legal capacity and authority to sell every item you list. Complete accurate seller-application and payout-provider steps. Do not submit Social Security numbers, tax IDs, bank details, or identity documents through a listing, message, or email; use only the secure flow Vendiaro or its payment provider identifies.
Vendiaro may request reasonable evidence of identity, business authority, lawful sourcing, ownership, device status, or compliance, and may use third-party verification. Do not misstate an individual account as a company. Keep information current and promptly report changes. If verification cannot be completed, Vendiaro may restrict listing publication or payout as allowed by law and the effective agreement.
2. Your independent seller status
You are an independent seller, not Vendiaro's employee, representative, agent, partner, or joint venturer. You control the item, listing facts, asking price, and fulfillment, subject to platform rules and law. You are responsible for your own permits, business records, taxes, product-safety duties, and any consumer obligations that apply to you. Nothing in this clause relieves Vendiaro of duties imposed directly on it.
3. Accurate electronics listings
List only a real item you control or are authorized to sell. Every photo must show the actual item offered, with identifying serial/IMEI numbers obscured in public images. State accurately, where applicable:
- brand, exact model/generation, storage/capacity and included components;
- new/open-box/refurbished/used/parts condition, visible wear, cracks, defects and known intermittent faults;
- repairs, replacement parts, prior liquid damage if known, battery health and the method/date used to check it;
- software/firmware version, carrier or activation lock, account/MDM/FRP status, and whether a factory reset or data wipe has been completed;
- known restrictions, missing accessories, prior warranty/recall remedy, and what is not included;
- item price, shipping charge (if any), pickup city/state (if local), and realistic dispatch/delivery or pickup terms.
If you cannot verify a fact, say “unknown” or leave the field blank where the interface permits; do not guess. Keep records supporting claims and sourcing. Seller statements, photographs, model numbers, a completed form, or an AI risk screen are not independent Vendiaro testing or a certification. An accurate, specific seller promise can create warranty obligations; do not make a claim you cannot honor.
Do not put phone numbers, email addresses, home addresses, payment instructions, external links, serial/IMEI numbers, tax IDs, or private buyer data in a public listing or image.
4. Prohibited and restricted inventory
Do not list (full proposed requirements are in `PROHIBITED_RESTRICTED_ITEMS_AND_ELECTRONICS_STANDARDS.md`):
- stolen, counterfeit, cloned, unlawfully modified, or unauthorized goods;
- products subject to an active recall or ban, unless the legally recognized remedy is complete and the listing clearly documents that remedy;
- devices reported lost/stolen, blacklisted, subject to another person's account/activation lock, or not lawfully transferable;
- devices containing another person's personal data or accounts that have not been removed;
- swollen, punctured, recalled, damaged, or otherwise unsafe lithium batteries, or items that cannot lawfully be shipped under carrier rules;
- items that violate export controls, sanctions, privacy, telecommunications, consumer-protection, or product-safety requirements;
- misleading “for parts” items that still hide safety or ownership issues.
Carrier-locked devices may be allowed only when lock and carrier details are accurately disclosed and the item is not reported stolen or otherwise prohibited. Activation Lock, Google FRP, and MDM/enterprise-locked devices are prohibited even if disclosed. For phones, seller attestation plus a documented private IMEI/serial status check is a proposed pre-publication requirement; until a secure check is implemented, these listings must not go live. Never expose a full IMEI/serial publicly. Vendiaro may maintain a more restrictive category list and remove a listing even if a seller believes a sale is lawful.
Before listing electronics, check the relevant official recall database and keep a dated record of the check. Re-check if a safety issue is reported. A seller cannot rely on “I did not know” as a substitute for a required safety check.
5. AI and staff review
Vendiaro may run automated text/metadata screening and route a draft or listing to staff. Screening is advisory, may be wrong, and is not a product inspection or guarantee. In the current implementation, Groq receives structured listing text and metadata, including the photo count—not the actual image files, account password, government ID, or payment credentials. A high-risk signal may cause a temporary hold and a request for evidence; it is not by itself a final accusation, rejection, or finding of fraud. Staff make publication decisions under the review process. Sellers may respond or appeal through the process shown in the account.
6. Shipping and local pickup duties
For shipped orders, package the exact listed item, use a lawful service and packaging for its battery/product class, meet the displayed ship-by commitment, and upload genuine carrier tracking when required. Do not mark shipped before handing the parcel to the carrier. If shipment will be delayed, promptly notify Vendiaro and the buyer and follow the legally required delay-consent/cancellation/refund process.
For local pickup, show only city/state publicly. Do not place a private residence address in the listing. Use Vendiaro's in-product order communication and any one-time pickup confirmation once available. Do not ask a buyer to pay cash or move payment off-platform for a sale represented as a Vendiaro order. Meet in a public, well-lit location, do not expose account credentials or private data, and do not hand over an item until the platform indicates the order and pickup instructions are valid. Local tools are not currently sufficient for a live paid handoff; do not treat draft settings as permission to transact.
7. Seller fee, payout, refunds, and disputes
Before an offer goes live, Vendiaro will show the commission, any fixed minimum, treatment of shipping, payment processing, refunds, disputes, reserves/holds, and payout timing. The current internal proposal is an 8% seller commission with a $1 minimum and no buyer service fee; it remains configurable and inactive. It may not be charged until the final fee schedule is displayed and accepted.
The payment provider may require identity, tax, bank, business, or beneficial-owner verification and may restrict charges or payouts. A seller must complete the provider's secure flow directly. Vendiaro does not guarantee acceptance, immediate payout, or a specific bank posting date. A seller may be responsible under the final agreement for a refund, reversal, chargeback, shipping loss, or policy violation, but the exact method and limits must be clearly disclosed before the seller accepts an order.
Do not issue an off-platform refund or ask a buyer to withdraw a truthful safety/payment dispute in exchange for a benefit. Respond to evidence requests promptly. A seller's communications and tracking data may be used to resolve an order dispute and shared with a payment provider or authority where needed.
8. Taxes, records, and seller identification
Provide accurate tax and identity information through secure provider channels when required. Keep records of inventory, sourcing, listing claims, order fulfillment, refunds, and taxes for the period required by law. Vendiaro may collect, verify, disclose, or report seller information to comply with tax, marketplace-transparency, consumer-protection, or law-enforcement requirements. A seller may need to provide updated/certified information periodically.
Marketplace thresholds can trigger additional obligations. For example, the INFORM Consumers Act's high-volume-seller rules use statutory sales and revenue criteria and include verification, disclosure, and reporting-mechanism duties. Vendiaro will monitor qualifying activity and request required information; sellers must respond accurately and on time. See the FTC source in the review checklist. Do not use an alternate account to avoid a threshold.
9. Fees, content license, and seller indemnity
You authorize Vendiaro to display, resize, store, screen, and moderate your listing photos and text to operate the marketplace and promote the specific offer. You retain ownership. This permission ends when the content is removed, except necessary transaction, safety, backup, or legal records.
To the extent permitted by law, you will defend and indemnify Vendiaro and its operator against third-party claims arising from your product, ownership/sourcing, listing statements, infringement, unlawful conduct, fulfillment, or breach of these Seller Terms, except for the portion caused by Vendiaro's own negligence, willful misconduct, or independent legal violation. Vendiaro will provide notice and reasonable cooperation; no settlement may impose liability or continuing duties on Vendiaro without written consent. This does not replace product-liability or general-liability insurance.
10. Holds, removal, and termination
Vendiaro may decline, pause, or remove a listing; request additional evidence; limit seller activity; or suspend an account to address credible safety, fraud, ownership, legal, payment-provider, or policy concerns. Where reasonably practicable, Vendiaro will tell the seller the reason and a path to respond or appeal. It may act first when needed to protect a person, prevent imminent harm, obey law, or preserve an investigation. Existing order, refund, tax, and recordkeeping duties survive account closure as required.
