Terms of Service
1. Agreement and service status
These Terms govern access to Vendiaro's website, account features, seller applications, listings, and—only after Vendiaro separately announces that checkout is available—marketplace transactions. By creating an account or using a feature that presents these Terms for acceptance, you agree to them and the Marketplace Terms of Use. If you do not agree, do not use that feature.
Vendiaro currently provides account, profile, seller-application, and listing-preparation features. Purchases, live payment collection, seller payouts, and order fulfillment are not currently open. No listing or seller application guarantees approval, publication, a sale, or earnings. Transaction provisions below are proposed to govern future checkout only after Vendiaro publishes an effective version and makes the corresponding systems available.
2. Who operates Vendiaro; Vendiaro's marketplace role
Vendiaro is a sole proprietorship operated by Tchishi Mwamba in Tucson, Arizona. Contact: vendiaro.shop@gmail.com. Vendiaro operates a marketplace where independent third-party sellers may offer electronics to buyers. Unless a specific listing or checkout page clearly says otherwise, the seller—not Vendiaro—is the seller of the item, owns or is authorized to sell it, sets its item price and condition, and must fulfill the order.
Vendiaro's intended business model is a marketplace venue: it provides software, account and listing tools, safety review, payment coordination when enabled, and support intake so independent sellers can offer their own goods. A seller is not Vendiaro's employee, partner, agent, or joint venturer merely by using the marketplace. Vendiaro does not manufacture the item and does not physically test a device merely because a Product Report, photo, AI screen, or staff review appears on the site.
This allocation describes the parties' intended roles; it does not excuse Vendiaro from duties imposed on it by law, from its own representations or conduct, or from obligations it expressly accepts in checkout or another agreement. A seller remains responsible for the seller's own legal duties and product claims.
3. Eligibility and accounts
You must be at least 18 and legally able to enter a contract. Provide accurate, current information, keep your password and authentication factors private, and promptly report suspected account compromise. Do not use another person's identity, create deceptive accounts, bypass verification, or let an unauthorized person use your account. You are responsible for activity under your account to the extent permitted by law.
Vendiaro may require email confirmation, anti-abuse checks, identity or business verification, and additional information for risk, legal, payment-provider, or marketplace-safety reasons. Sensitive identity and bank information must be submitted only through the designated secure provider flow—not public listings, messages, or ordinary support email.
4. Seller listings and item-specific agreements
Sellers must follow the Marketplace Terms of Use and Seller Rules. Each future transaction is between the buyer and the seller identified on its checkout page, subject to these Terms and the item-specific listing. Before paying, the buyer must be shown the seller's identity as required by law, item price, Vendiaro fee if any, shipping or pickup choice, applicable tax, total, delivery estimate, and the applicable cancellation/return terms.
The seller is responsible for the truth and completeness of the listing, actual-item photographs, lawful ownership, condition, defects, repair and parts history, lock/activation status, battery and software details, included items, and fulfillment. Seller claims or promises that form part of the bargain can create express-warranty obligations; a general disclaimer in these Terms does not erase an item-specific promise.
5. Price, fees, payment, and tax (future checkout only)
Vendiaro may charge a seller commission and other disclosed fees. Before a seller publishes an offer and before a buyer commits, the applicable fee schedule and order total must be displayed clearly. The current internal billing plan is configurable (currently planned as an 8% seller commission with a $1 minimum, capped at the item price, and no buyer service fee); that is not a promise that a final fee has been approved or activated. No fee is owed for a transaction unless the applicable schedule and seller agreement have been made effective.
If checkout opens, a third-party payment provider may collect card and payout details under its own terms. Vendiaro should not receive or store full payment-card numbers. Payment timing, seller payout eligibility, holds, reserves, refunds, reversals, and dispute handling are described in the proposed Payments & Payouts Policy and must be accurately reflected in checkout. Do not rely on a projected payout as a guaranteed date.
The checkout page will separately identify taxes collected. Vendiaro will collect, report, and remit tax when and as required by law and when the applicable registration and systems are in place. Sellers remain responsible for their own income-tax, recordkeeping, and other obligations. Vendiaro does not provide tax advice. No paid checkout may open until Vendiaro's Arizona TPT and other applicable marketplace-tax obligations have been resolved with a qualified adviser and configured.
6. Shipping, local pickup, and order changes
The order page will state the chosen fulfillment method and the seller's shipment or pickup commitment. Sellers must have a reasonable basis for shipment promises and comply with applicable delay-notice and refund requirements. If a seller cannot ship when promised, the seller and Vendiaro must follow applicable law, including any required notice, buyer consent to delay, and prompt refund.
For local pickup, public listings may show a city or general area but not a seller's home or private street address. Exact meetup arrangements, safety guidance, cancellation rules, and any single-use handoff code will be handled through the order tools once implemented. A meetup code is evidence of handoff, not a waiver of rights for fraud, misdescription, or a defect that could not reasonably be discovered at handoff.
Buyers must use Vendiaro's order and support channels for order-related issues. Sellers may not direct a buyer to pay off-platform to avoid a fee, safety check, tax, record, or dispute process.
7. Returns, cancellations, refunds, and disputes
Vendiaro publishes its Buyer Protection, Delivery/Returns/Refunds, Payments & Payouts, and Dispute Resolution policies in the Legal section. Purchase and payment policies apply only when checkout and the related transaction features are enabled and the applicable terms are shown before the transaction. The policies do not take away consumer rights that cannot legally be waived.
No statement that an item is “used,” “as-is,” or “no returns” permits a seller to misrepresent the item, conceal a known defect, ignore an express promise, sell an unlawful or recalled product, or waive a non-waivable statutory remedy. Disputes about shipping delays must follow applicable prompt-delivery and refund laws.
8. Product Reports, screening, and reviews
Product Reports distinguish seller-provided information from any independently verified result. Unless the page identifies a specific test and its scope, Vendiaro has not tested the product. Automated systems may screen listing text and metadata and route risk signals to staff; they do not determine authenticity, safety, ownership, publishability, or guilt. Staff review is not a guarantee. Vendiaro may request evidence, temporarily restrict a listing, remove content, or refer a matter for further review, subject to applicable law and any published appeal process.
Reviews must reflect a genuine experience and may not be bought, fabricated, threatened, or conditioned on positive sentiment. Vendiaro may remove unlawful, irrelevant, abusive, or manipulated reviews under a consistently applied policy. A review or rating is one user's opinion, not a Vendiaro warranty.
9. Prohibited conduct and enforcement
You may not break the law; infringe rights; upload malicious code; scrape or interfere with the service; harass, threaten, or dox another person; manipulate listings, metrics, or reviews; evade fees or safety controls; or use Vendiaro to commit fraud. Sellers may not list stolen, counterfeit, recalled, prohibited, unlawfully locked, or materially misdescribed electronics.
Vendiaro may investigate reports, preserve records, restrict accounts or listings, request evidence, suspend transactions where legally and contractually permitted, and cooperate with lawful requests. Where reasonably practicable, Vendiaro will give notice and an opportunity to respond; notice may be delayed or withheld to protect users, an investigation, legal compliance, or system security. Vendiaro will not represent that AI screening alone made a final decision.
10. User content and intellectual property
You retain your rights in content you submit. You grant Vendiaro a non-exclusive, worldwide, royalty-free license to host, reproduce, resize, display, transmit, and process that content solely as needed to operate, secure, moderate, and promote the service and the listing you chose to publish. This license ends when the content is deleted, except for copies retained in backups, records of completed transactions, legal holds, or other lawful retention; any continued use beyond those needs requires a separate basis.
Do not upload content you do not have permission to use. Send suspected intellectual-property complaints to vendiaro.shop@gmail.com with the URL and relevant evidence. This inbox is an intake channel, not a representation that a DMCA agent has been registered or that Vendiaro qualifies for any statutory safe harbor. Before claiming a DMCA safe harbor, Vendiaro must complete the required agent designation and operational notice/counter-notice process.
11. Privacy and service providers
The Privacy Policy explains the information Vendiaro collects, why it is used, service providers, retention, and privacy requests. Relevant providers may include Supabase (authentication, database, and image storage), Vercel (hosting), Cloudflare Turnstile (abuse checks), Resend (authentication email), Stripe (payment and seller verification if checkout opens), and Groq (advisory screening of structured listing text if enabled). The current AI screening request does not include listing photos, passwords, payment-card numbers, or government-ID documents. Provider availability may change; Vendiaro will update its notices when practices materially change.
12. Suspension, closure, and records
You may stop using the service and request account deletion through the support channel. Vendiaro may suspend or close an account for a material breach, fraud or safety risk, legal requirement, provider restriction, or prolonged inactivity, subject to applicable law. Closing an account does not cancel a completed transaction, erase another user's lawful records, or remove data that must be kept for tax, safety, fraud-prevention, dispute, or legal reasons.
13. Disclaimers and limits that preserve legal rights
To the maximum extent permitted by law, the Vendiaro website and account tools are provided “as available,” without a promise of uninterrupted access, error-free screening, a sale, a particular search ranking, a buyer, seller, payment, delivery, or outcome. Vendiaro disclaims implied warranties only as to the platform service and only where the disclaimer is legally effective. This section does not disclaim an item seller's express promises or Vendiaro's own express promises, and it does not eliminate any consumer protection, product-safety, privacy, payment, or other right that cannot legally be waived.
Nothing in these Terms releases a person from liability for that person's fraud, intentional misconduct, or obligations that law makes non-waivable. No term gives Vendiaro immunity from claims based on Vendiaro's own conduct.
14. Seller indemnity (future seller agreement)
To the extent permitted by law, a seller must defend, indemnify, and hold harmless Vendiaro and its operator from third-party claims, losses, and reasonable legal costs arising from the seller's product, ownership or sourcing, listing statements, infringement, fulfillment, violation of law, or material breach of the Seller Terms. This duty does not cover the portion of a claim caused by Vendiaro's own negligence, willful misconduct, or independent violation of law. Vendiaro will give reasonably prompt notice and cooperation; the seller may not settle a claim in a way that admits fault for or imposes ongoing duties on Vendiaro without Vendiaro's written consent. Counsel should review scope, enforceability, insurance, and any state-law limits.
15. Governing law and disputes
Arizona law governs these Terms, without regard to conflict-of-law rules, except where another jurisdiction's mandatory consumer law applies. Any court proceeding must be brought in a state or federal court with jurisdiction in Pima County, Arizona, unless applicable law gives the consumer a right to another forum. Before filing, the parties are encouraged to send a written description of the dispute to vendiaro.shop@gmail.com and allow 30 days for an informal resolution. This request does not shorten a filing deadline, block an urgent safety or injunctive request, or prevent a small-claims action where permitted. No mandatory arbitration or class-action waiver is included in this draft. Whether to add one is an owner/counsel decision; do not add a generic clause without review and conspicuous assent.
16. Changes, notices, and contact
Vendiaro will date and version material changes and present them for affirmative acceptance before applying them to account or transaction features that require renewed consent. Notices may be delivered in-product or by email to the verified account address. Contact: vendiaro.shop@gmail.com. Privacy requests, safety reports, and IP notices should identify the relevant account, listing, or order but must not include passwords, full card numbers, or government-ID documents by ordinary email.
